Terms of Service

“Brand” means a business user who orders content. “Creator” means a user who offers user-generated content (UGC) services. “Order” means a paid engagement between a Brand and a Creator placed through the Platform. “Content” means any deliverable produced under an Order.

UGC MATCH is a neutral marketplace that connects Brands and Creators. We are not a party to any contract, agreement or transaction formed between a Brand and a Creator. We do not create, produce, own, endorse or control any Content, and Creators are independent contractors, not our employees, agents or representatives. The contract for any Order is concluded directly and solely between the Brand and the Creator.

You must be at least 18 years old and able to form a binding contract. You agree to provide accurate information, keep it up to date, and are responsible for all activity under your account and for keeping your credentials secure.

Signing up, building a profile, listing packages, posting listings and searching are free. Our sole fee is a 10% commission deducted from the value of each completed Order. There are no listing fees, subscriptions or hidden charges. Creators receive 90% of the Order value upon completion.

Payments are processed by our third-party payment provider, Stripe. When a Brand places an Order, the payment is authorised and held; funds are captured when the Creator accepts and released to the Creator (less commission) only after the Order is marked completed by the Brand. We do not store full card details. Your use of payment services is also subject to Stripe’s terms.

An Order moves through defined states (pending, accepted, in progress, delivered, revision requested, completed). A Creator has a limited window (currently 48 hours) to accept a pending Order, after which the authorisation may expire. Deliverables are exchanged through the Platform.

All payments and dealings relating to an Order must take place through the Platform and its escrow.You must not solicit, encourage or accept payment, or move a relationship introduced through the Platform, outside the Platform, in order to avoid fees or for any other reason.

If you transact, pay, or accept payment outside the Platform, you do so entirely at your own risk. We provide no escrow, no buyer or seller protection, no dispute resolution and accept no responsibility whatsoever for any loss, fraud, scam, non-delivery, non-payment or damage arising from any off-platform dealing. Attempting to circumvent the Platform is a serious breach of these Terms and may result in immediate suspension or termination and forfeiture of any pending amounts to the extent permitted by law.

The Platform is provided on an “as is” and “as available” basis without warranties of any kind. We do not guarantee the identity, conduct, solvency, quality of work, legality or honesty of any user.

To the maximum extent permitted by applicable law, UGC MATCH and CLOSYA FZ-LLC are not liable for the acts or omissions of any user, for any fraud committed by a user, for the quality, legality or non-delivery of Content, for any dispute between a Brand and a Creator, or for any loss arising from transactions or communications conducted outside the Platform. We are not liable for indirect, incidental, special or consequential damages, or loss of profit, data or goodwill. Our total aggregate liability for any claim relating to an Order shall not exceed the amount of commission we actually earned on that Order. Nothing in these Terms excludes liability that cannot lawfully be excluded.

The Creator warrants that the Content is original, does not infringe third-party rights, and that they hold all rights necessary to deliver it. Upon full payment and completion of an Order, the Creator grants the Brand the licence to the Content agreed in the brief. You grant UGC MATCH a limited, non-exclusive licence to host and display submitted material to operate and promote the Platform.

You must not: circumvent the Platform or its fees; engage in fraud, money laundering or illegal activity; post unlawful, infringing, deceptive or harmful content; harass other users; post fake reviews; or misuse, scrape or attack the Platform. We may remove content and suspend accounts that breach these Terms.

Disputes must be raised through the Platform. Before funds are released to a Creator, a Brand may request a revision or, where justified, a cancellation. Once funds have been released, refunds require manual review and are not guaranteed. We may, at our discretion, help mediate a dispute, but we are under no obligation to do so and are not an arbitrator of the underlying contract between the parties.

We may suspend or terminate your access at any time for breach of these Terms, suspected fraud or circumvention, or to comply with law. You may stop using the Platform at any time.

You agree to indemnify and hold harmless UGC MATCH and CLOSYA FZ-LLC from any claim, loss or expense arising from your use of the Platform, your Content, your dealings with other users, or your breach of these Terms.

These Terms are governed by the laws of the United Arab Emirates as applicable in the Ras Al Khaimah Economic Zone (RAKEZ), without regard to conflict-of-law rules. Disputes shall be subject to the competent courts or dispute resolution bodies of Ras Al Khaimah, UAE, to the extent permitted by applicable mandatory consumer law.

We may update these Terms; material changes will be notified through the Platform. Continued use after changes take effect constitutes acceptance. Questions: support@ugcmatch.io.
