Checkout v2 addendum, effective 6 August 2026
This addendum governs every Order priced under checkout v2 and prevails over Sections 2, 4, 5, 7 and 8 below to the extent of any conflict.
CLOSYA's role
For a checkout v2 Order, the Brand purchases the campaign from CLOSYA FZ-LLC, which is the contracting seller to the Brand. The Creator performs the creative work as an independent supplier to CLOSYA. CLOSYA collects the Brand payment and owes the Creator the remuneration recorded for the Order, subject to acceptance, delivery, validation, refunds, disputes and applicable law. This does not create employment between CLOSYA and the Creator.
Prices, fees and tax
The campaign price is the selected package price or accepted custom quote. The Brand also pays a uniform CLOSYA service fee of 6%, with a minimum of EUR 1.50, regardless of the payment method. The Creator remuneration is 90% of the campaign price and CLOSYA retains 10%. Every amount is shown before payment confirmation. UAE VAT is added separately only when legally applicable and may be 0% or 5% according to the supply and the tax information provided by the Brand and retained by CLOSYA. VAT is a tax, not a CLOSYA fee. The Brand must provide accurate billing, establishment and service-recipient information.
Payment authorization and Creator payout
Stripe authorizes the Brand's card when the Order is submitted. CLOSYA captures the authorized amount only when the Creator accepts. This card authorization and delayed payout workflow is not a regulated escrow account and must not be understood as funds held on trust for either user. After the work is approved or automatically validated under the Order rules, the service may be marked completed while the Creator payout remains pending. A payout is shown as paid only after either a payment provider records the transfer reference and status, or an authorized administrator attests that the transfer was executed and records its reference and status. An administrator's manual attestation is not independent verification by the payout provider.
Cancellations, refunds and disputes
If the Creator rejects or does not accept within the stated window, CLOSYA cancels the authorization where possible. After capture, any cancellation, refund, service-fee adjustment or VAT correction depends on work already performed, the dispute facts, payment-provider rules and applicable law. Chargebacks or suspected fraud may pause a payout and move the Order to manual review.
These Terms of Service (the “Terms”) govern your access to and use of the UGC MATCH platform, websites and services (the “Platform”), operated by CLOSYA FZ-LLC, a Free Zone Limited Liability Company registered with the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates, under licence no. 47030623 (“UGC MATCH”, “we”, “us”). By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
1. Definitions
“Brand” means a business user who orders content. “Creator” means a user who offers user-generated content (UGC) services. “Order” means a paid engagement between a Brand and a Creator placed through the Platform. “Content” means any deliverable produced under an Order.
2. CLOSYA's role in checkout v2
For a checkout v2 Order, the Brand purchases the campaign from CLOSYA FZ-LLC, which is the contracting seller to the Brand. The Creator performs the creative work as an independent supplier to CLOSYA, not as an employee, agent or representative. CLOSYA operates the ordering, payment and delivery workflow, collects the Brand payment and owes the Creator the remuneration recorded for the Order, subject to these Terms and applicable law.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate information, keep it up to date, and are responsible for all activity under your account and for keeping your credentials secure.
4. Prices, service fees, Creator fees and VAT
Registration, profile creation, package publication, listing publication and browsing are free. For checkout v2 Orders, the Brand pays the campaign price plus a CLOSYA service fee of 6%, with a minimum of EUR 1.50, and any VAT shown as applicable before confirmation. The Creator remuneration is 90% of the campaign price and CLOSYA retains a 10% Creator fee. VAT is a tax and is not CLOSYA revenue. Payments are processed through Stripe. When the Brand submits a checkout v2 Order, Stripe authorizes the exact Brand total shown at confirmation. CLOSYA captures that authorized amount only when the Creator accepts. If the Creator rejects or does not accept within the stated window, CLOSYA cancels the authorization where possible. The card authorization is not a regulated escrow account and does not mean funds are held on trust for either user. After approval or automatic validation, the Order may be completed while the Creator payout remains pending. 6. Order lifecycle
An Order moves through defined states (pending, accepted, in progress, delivered, revision requested, completed). A Creator has a limited window (currently 48 hours) to accept a pending Order, after which the authorisation may expire. Deliverables are exchanged through the Platform.
7. Transactions on the Platform and no circumvention
All negotiations and payments for an Order must remain on the Platform. Users must not move a relationship established through UGC MATCH outside the Platform to avoid fees or controls. Payments made outside the Platform are not recorded, supported or reconciled by CLOSYA and may prevent us from helping with an Order, refund, dispute or payout. Circumvention may result in suspension or termination, subject to applicable law.
8. User conduct, service limitations and liability
CLOSYA is the contracting seller to the Brand for checkout v2 Orders, while the Creator independently performs the creative work as CLOSYA's supplier. We do not guarantee a user's identity, conduct, solvency or creative quality, and we may suspend an Order or payout for fraud, sanctions, chargeback or legal review. The Platform is provided with reasonable care but no online system is uninterrupted or error-free.
To the maximum extent permitted by applicable law, CLOSYA is not liable for indirect, incidental, special or consequential losses, lost profits, lost data or reputational harm. Nothing in these Terms excludes liability that cannot legally be excluded, or any mandatory consumer right.
9. Content, intellectual property and licence
The Creator warrants that the Content is original, does not infringe third-party rights, and that they hold all rights necessary to deliver it. Upon full payment and completion of an Order, the Creator grants the Brand the licence to the Content agreed in the brief. You grant UGC MATCH a limited, non-exclusive licence to host and display submitted material to operate and promote the Platform.
10. Prohibited conduct
You must not: circumvent the Platform or its fees; engage in fraud, money laundering or illegal activity; post unlawful, infringing, deceptive or harmful content; harass other users; post fake reviews; or misuse, scrape or attack the Platform. We may remove content and suspend accounts that breach these Terms.
11. Cancellations, refunds and disputes
Disputes must be submitted through the Platform. Before completion, the Brand may request a revision or raise a supported cancellation or dispute. After capture, any cancellation, refund, service-fee adjustment or VAT correction depends on work already performed, the facts, payment-provider rules and applicable law. A chargeback or fraud concern may pause the Creator payout and move the Order to manual review. We may help assess a dispute, but any outcome remains subject to these Terms and applicable law.
12. Suspension and termination
We may suspend or terminate your access at any time for breach of these Terms, suspected fraud or circumvention, or to comply with law. You may stop using the Platform at any time.
13. Indemnification
You agree to indemnify and hold harmless UGC MATCH and CLOSYA FZ-LLC from any claim, loss or expense arising from your use of the Platform, your Content, your dealings with other users, or your breach of these Terms.
14. Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates as applicable in the Ras Al Khaimah Economic Zone (RAKEZ), without regard to conflict-of-law rules. Disputes shall be subject to the competent courts or dispute resolution bodies of Ras Al Khaimah, UAE, to the extent permitted by applicable mandatory consumer law.
