UGC Creator Agreement

This UGC Creator Agreement (the "Agreement") is made between [Client Name] (the "Client") and [Creator Name] (the "Creator"), effective as of [Date].

1. Scope of Work

The Creator will produce the following user-generated content (UGC) for the Client: [describe the deliverables, for example "one vertical 30 second product video in 9:16"]. The Creator will follow the brief provided by the Client, including the product, key messages, tone, and any required hook or call to action.

2. Timeline

The Creator will deliver a first draft by [delivery date]. The Client will review and either approve or request revisions within [number] business days of delivery.

3. Payment

The Client will pay the Creator a total of [amount] for the deliverables above. Payment terms: [for example, paid in full on approval, or 50 percent upfront and 50 percent on delivery]. When the parties transact through a marketplace with escrow, the payment is held securely and released to the Creator once the Client approves the work.

4. Revisions

This Agreement includes [number] round(s) of revisions. A revision means reasonable changes within the original scope and brief. New requirements outside the original brief may be quoted and charged separately.

5. Usage Rights and License

Upon full payment, the Creator grants the Client a license to use the delivered content as follows. Usage: [organic social only, paid advertising, or both]. Term: [for example 6 months, 12 months, or perpetual]. Territory: [for example worldwide]. Exclusivity: [exclusive or non exclusive]. Unless stated otherwise, this license does not include the right to run paid advertising. Paid ad rights, whitelisting, and extended terms are agreed and priced separately. 6. Content Ownership

Once payment is made in full, the Client owns the final delivered files, subject to the license terms above. The Creator keeps ownership of any pre existing materials, tools, or background elements used to create the content.

7. Representations

The Creator confirms that the content is their original work, does not infringe anyone else rights, and that any claims made in the content are honest. The Client confirms that any materials it provides, such as the product, logo, or script, do not infringe anyone else rights.

8. Confidentiality

Each party will keep the other party non public information confidential and use it only to perform this Agreement.

9. Independent Contractor

The Creator is an independent contractor, not an employee of the Client. The Creator is responsible for their own taxes and provides their own equipment. Nothing in this Agreement creates a partnership or an employment relationship.

10. Termination

Either party may end this Agreement in writing. If the Client cancels after work has started, the Client will pay for the work completed up to that point and any agreed non cancellable costs.

11. General

This Agreement is the entire agreement between the parties on this subject and replaces any prior discussion. Any change must be agreed in writing by both parties. This Agreement is governed by the laws of [jurisdiction].
